Leases and transactions

Sale and leaseback

A company sells its property and immediately leases it back.

Sale and leaseback releases capital tied up in property without giving up the site. Investors gain a long lease with a known occupier. Term, rent level and covenant are decisive.

Motives

Companies use sale and leaseback to raise liquidity for growth, investment or debt reduction, improve balance sheet structures or arrange succession. Operations continue without relocation. For investors, the result is an asset with a long lease and an occupier that knows and needs the site.

Structuring

Key elements are term, renewal options, rent level, indexation, maintenance rules and buy-back or pre-emption rights. Accounting and tax effects should be reviewed with advisers in advance, for example under IFRS 16 or German commercial law.
