Letter of intent (LOI)

A declaration of intent recording the key terms of a planned deal.

An LOI summarises price or rent, term, area, timetable, conditions and exclusivity before contracts are negotiated. It is usually non-binding, but individual clauses such as confidentiality, exclusivity or cost provisions are often agreed as binding.
