Due diligence

The structured review of a property before purchase, financing or letting.

Due diligence covers legal, technical, financial, tax and ESG aspects: land register, leases, permits, fire safety, building fabric, contamination and energy data. A complete data room speeds up the process.

Components

The legal review covers the land register, public easements, leases, permits and servitudes. The technical review looks at structure, roof, fire safety, building services and maintenance backlog. In addition, there is an economic analysis of rents and costs, the tax structure, environment and contamination, and ESG data such as energy consumption and taxonomy alignment.

Process

Sellers provide documents in a virtual data room, buyers and advisers ask questions through a Q&A process. Findings feed into price, warranties and indemnities. A structured vendor due diligence by the seller shortens the process and strengthens the negotiating position.
